RallyBoard Platform Terms of Use

These Terms of Use apply to the RallyBoard platform and its services, including access by administrators, employees, members, professionals, and general users affiliated with a customer or partner organization. These Terms do not apply to the public RallyBoard company website.

RallyBoard Inc. owns and operates the RallyBoard platform (the “Site”). The platform is licensed by associations and professional organizations (“Customer,” “Partner,” “Organizational Partner”) to support individuals navigating professional challenges, peer connection, and skill development. We take the information you provide us to deliver and improve these services (“Services”).

By using this Site and our Services, you agree to these Terms of Use (referred to herein as “you,” “your,” “User(s)”). If you do not agree to these Terms, you are not authorized to use the Site or Services and must cease access immediately.

1. User Roles

We support a range of users. You may interact with RallyBoard as:

Account Administrator: An individual authorized by a Partner organization to manage access, assign users, and configure accounts.

Participant: A member, professional, employee, or other individual who is enrolled in a peer group, cohort, or related engagement through the Services.

Facilitator or Contributor: A participant who provides insights, feedback, or support for peer learning or mentorship experiences.

Visitor: Anyone browsing the Site without an account or access to our core Services.

If you are an Account Administrator, you confirm that you are authorized to act on behalf of your Partner organization and that “you” refers to both the organization and you personally. A separate agreement between RallyBoard and your organization may override these Terms.

2. Services and Modifications

Our Services include tools for community-building, peer engagement, professional development, and data insights. We may update or discontinue features at any time, without liability.

2A. Meeting Recording, Transcription, and Analysis

As part of our Services, meetings hosted through the RallyBoard platform may be recorded and transcribed using third-party tools, including Zoom. By participating in a meeting hosted on or through the RallyBoard platform, you acknowledge and consent to the recording and transcription of that session. Participants who do not wish to be recorded may disable recording through the available in-meeting controls. Where required by applicable law, additional notice or consent mechanisms will be provided prior to the start of a recorded session.

3. Intellectual Property

All RallyBoard trademarks, service marks, logos, software, and content are the intellectual property of RallyBoard or its licensors. This agreement grants no ownership rights. Suggestions or feedback you provide may be used by us without compensation or acknowledgment.

4. User Content

You are responsible for the content you submit to RallyBoard, including messages, data, documents, and profile information (“User Content”). You agree not to use the Services for:

  • Uploading harmful, unlawful, or offensive content;

  • Violating others' intellectual property;

  • Sending spam or unsolicited messages;

  • Impersonating another person or entity;

  • Collecting data without consent;

  • Attempting unauthorized access to the platform.

We reserve the right to remove content or suspend accounts that violate these terms.

Meeting transcripts generated from sessions hosted on or through the RallyBoard platform are considered User Content under these Terms. You acknowledge that the content of your spoken contributions during recorded meetings may be captured, stored, and attributed to your account or profile in transcript form. Transcripts are subject to the same terms governing other User Content, including the license granted in Section 5.

5. License to User Content

By uploading content, you grant RallyBoard a nonexclusive, worldwide, royalty-free license to use it in connection with providing and improving our Services, developing new features, and promoting the platform. We may also analyze aggregated, anonymized data for research or business purposes.

You acknowledge and agree that RallyBoard may use automated tools, including artificial intelligence and natural language processing, to analyze meeting transcripts and other User Content. This analysis may include the detection of specific topics, keywords, themes, or other signals that trigger automated or manual actions by RallyBoard or its partner organizations, such as follow-up communications, resource recommendations, or alerts to authorized administrators. RallyBoard will not use signal-based triggers for purposes beyond those described in the applicable Partner agreement and these Terms.

RallyBoard may derive insights, reports, and analytics from meeting transcripts and other User Content and share these with the Partner organization through which you access the Services. Insights shared with Partner organizations may include aggregated, anonymized summaries or, where permitted by the applicable Partner agreement and applicable law, attributed information tied to your account or participation. 

6. Content Removal & Preservation

We may preserve or disclose User Content to comply with the law, enforce these Terms, protect users, or address security or rights concerns. User Content will be deleted within 30 days of termination of a Partner agreement unless retention is required by law.

Meeting recordings and transcripts are retained for the duration of the applicable Partner agreement, unless a shorter retention period is specified in the Partner agreement or requested by an authorized Account Administrator. Users may request information about the retention of their specific data by contacting their Account Administrator or RallyBoard at help@rallyboard.com.

7. External Content and Third-Party Links

RallyBoard uses third-party service providers, including Zoom Video Communications, Inc., to facilitate meeting hosting, recording, and transcription services. These providers act as subprocessors of data collected through the platform and are subject to their own terms of service and privacy policies. RallyBoard takes reasonable steps to ensure that subprocessors handle data in a manner consistent with these Terms and applicable law; however, RallyBoard is not responsible for the independent data practices of third-party providers. Users are encouraged to review the applicable privacy policies and terms of service.

8. Repeat Infringer Policy

RallyBoard may terminate or restrict access to users who repeatedly violate intellectual property laws or this agreement.

9. Registration and Account Responsibilities

You must register truthfully and update your information as needed. Log-in credentials must not be shared. If you suspect unauthorized access, notify us immediately.

Registered users must:

  • Comply with applicable laws;

  • Use the Services only as authorized;

  • Avoid impersonation or misrepresentation;

  • Not misuse access privileges.

10. Privacy and Student Data

Our separate [Privacy Policy] governs data handling practices. For educational partners, RallyBoard acts as a “school official” under FERPA and uses personally identifiable data solely for service delivery in compliance with federal law and the Partner agreement.

10A. Notice to Meeting Participants

Individuals who participate in meetings hosted through the RallyBoard platform, including invitees who may not otherwise hold a registered account, are hereby notified that sessions may be recorded, transcribed, and analyzed as described in these Terms. Partner organizations are responsible for ensuring that meeting participants within their networks are informed of these practices prior to joining a session.

11. Legal Requests

Partner organizations own their user data. If legally compelled to provide access to that data, RallyBoard will notify the Partner (where permitted) and defer to the Partner’s direction.

12. Security

We implement industry-standard security to protect your data, including encryption, access controls, and secure infrastructure. While we take reasonable precautions, no system is immune to all risks, and we cannot guarantee absolute security.

13. Indemnification

You agree to indemnify and hold harmless RallyBoard and its affiliates from any claims arising from your use of the Services, your submitted content, or your violation of these Terms.

14. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. RALLYBOARD DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

We are not liable for interruptions, delays, content errors, or unauthorized access to the platform.

15. Limitation of Liability

RALLYBOARD’S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED $25.00. We are not liable for indirect, incidental, or consequential damages resulting from your use of the platform.

16. Legal Jurisdiction

These Terms are governed by the laws of the State of Delaware..

17. Severability

If any provision is found invalid, the remainder of the Terms will remain enforceable.

18. Changes to Terms

We may update these Terms at any time. The current version will always be available on the platform and reflect the latest revision date. Continued use of the Services after changes means you accept the updated Terms.
